Agreement

OptiWave is developed, owned, and provided by Coodiv LLC, located at 1209 Mountain Road PL NE, STE N, Albuquerque, NM 87110, USA (referred to as the “Company”, “we”, “us”, or “our”). This is a binding legal agreement between the person or organization (“Customer”, “you”, or “your”) agreeing to these Terms of Use (“Terms”) and OptiWave. By purchasing, downloading, installing, or using any of our products and services, you represent that you are of legal age and have the authority to accept and bind yourself (or the entity you represent) to these Terms.

Trademarks & Intellectual Property

All logos, trademarks, and branding displayed on this Website are the exclusive property of OptiWave or respective third parties. You are not permitted to use, copy, or distribute these marks without prior written consent from us or the respective trademark owner.

Links to Third-Party Sites

Our Website and services may contain links to external third-party sites. Accessing any linked site is entirely at your own risk. We are not responsible for the accuracy, security, or reliability of any information, data, opinions, or statements made on third-party websites. Links are provided solely as a convenience and do not imply an endorsement by us.

Plugin License & Service Model

Automatic updates, product support, and cloud optimizations are available to customers with an active OptiWave license. You may not share, lease, or resell your license key.

Please note that OptiWave functions as a continuous hybrid optimization service rather than a standalone offline plugin. Portions of the page parsing, file minification, and critical CSS/font generation are performed directly on our high-performance cloud servers. Therefore, an active, non-expired license is required to run optimizations, download updates, and receive support. If your license expires, the optimization services and plugin features will become inactive.

Subscription & Automatic Renewal

Your OptiWave license subscription is valid for exactly 1 year from the original date of purchase. Active licenses grant access to cloud optimization services, automatic updates, new features, and our technical support team. Subscriptions renew automatically every year on the anniversary of your purchase.

You can cancel your subscription at any time. If you cancel, your license will remain active until the end of its 1-year term and will not renew automatically. Once expired, you will no longer receive updates, optimization services, or support. You can renew an expired license at any time to reactivate your subscription.

Product Delivery

Upon successful payment processing, you will receive an email containing account setup instructions. Your customer dashboard will provide access to download the latest plugin version, manage your license key, view billing history, and access support.

Ownership & Liability

You may not claim intellectual property or exclusive ownership rights to any of our products. All products are provided “as is” without warranties of any kind, express or implied. OptiWave shall not be held liable for any direct, indirect, special, incidental, or consequential damages or losses arising from the use or inability to use our products.

Support Terms

Technical support is exclusively offered to customers with a valid and active OptiWave license key. Support and automatic updates are provided for a period of 1 year from the purchase date. The license key and account are tied to the email address of the original purchaser. Only the registered license holder is permitted to open support tickets or access documentation resources.

License holders are strictly prohibited from distributing, sharing, or reselling license keys. License transfers must be requested officially by contacting us. Using our licenses on client websites is permitted provided the license holder maintains an ongoing relationship with the client as a consultant or developer. We do not provide support for websites containing adult, NSFW, or illegal content.

Refunds

Transactional Communications

We may occasionally send you email notifications regarding your account, product license, or billing. These transactional emails include renewal reminders, terms updates, and security alerts. By purchasing our product, you agree to receive these necessary communications.

YouTube API Services

If you enable the “Replace YouTube iframes” performance optimization feature, the service utilizes YouTube API Services to load video placeholders. By utilizing this feature, you agree to be bound by the YouTube Terms of Service.

Usage Restrictions

Licenses are intended solely for a single individual or business entity. Sharing or distributing a license key across community groups, forums, or multiple users is strictly prohibited. We reserve the right to suspend or terminate license keys that violate these usage terms.

Account Suspension

We reserve the right to modify, suspend, or discontinue a license at any time, with or without notice, in the event of terms violations. Suspended accounts are not eligible for refunds.

Hosting Integrations & Reselling

OptiWave licenses may not be resold or bundled as a commercial service under any circumstances. You may not bundle OptiWave as an integrated component of your web hosting service or auto-install it on all hosted sites (free or paid) without a custom enterprise agreement. Unauthorized reselling or bundling will result in immediate termination of the license without refund and may incur damages.

Payment Disputes

We are happy to process refunds according to our Refund Policy. However, opening a chargeback or payment dispute against us instead of contacting support will result in a permanent ban and termination of all active licenses and services.

Compatibility & Warranty

OptiWave is guaranteed to function on a clean default WordPress installation. We cannot guarantee compatibility with all third-party themes, plugins, hosting configurations, or web browsers. We provide technical support for third-party compatibility issues entirely at our discretion as resources permit.
